CMS 1 to CMS 2 upgrade

Okay, two prong question here, if I opted to upgrade one of my sites from V1 to V2, does that have any affect on the licensing of other sites that I have V1 installed?

Second part, what is the process to upgrade from V1 to V2, is merely copying the new files to the site enough?

And if I can add one comment, I'm just a bit dismayed to find out about the new licensing policy of PowerCMS. My own fault for not reading deeper, but I purchased the new version with intentions of being able to update the two sites that are currently using it and set up a third. So now I have to explain to my clients that they have to pay for an upgrade. Sigh. I still love your products, but can't you cut us long time users a bit of break?
